Share issue in Storytel in conjunction with the acquisition of the Finnish publishing house Aula & Co

As previously communicated on 23 June 2021, Storytel has entered into an agreement for acquiring a 100 percent stake in the Finnish publishing house Aula & Co. As of 20 August 2021, Storytel has closed the acquisition, thus becoming the owner of Aula & Co.

On 20 August 2021, Storytel’s acquisition of 100 percent of the shares in the Finnish publishing house Aula & Co was completed. As previously communicated, the purchase price will partially be paid in cash and partially through the issue of Storytel AB (publ) shares.

Through the share issue 23,482 new class B shares have been issued today. Following the issue, the share capital will amount to SEK 34,140,955.50. The total number of Storytel shares following the issue amounts to 68,281,911 shares, divided into 635 class A shares and 68,281,276 class B shares. The newly issued shares will represent approximately 0.0344 percent of the total number of shares and votes in Storytel on a fully diluted basis. The subscription price in the issue of approximately SEK 223.19 was calculated as the volume weighted average price for the Company's class B share during the 20 trading days at Nasdaq First North Growth Market which precedes three trading days prior to 23 June 2021. The subscription and allotment of shares has gone according to plan and the increased Storytel share capital has been filed for registration with the Swedish Companies Registration Office.
